1. Acceptance

These Terms of Service (the "Terms") form a binding agreement between you and Lidito ("lidito", "we", "us"). By creating an account or using the Service at lidito.app (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Lidito is a web-based tool for clipping long-form videos into short-form content, editing them, and scheduling or publishing them to connected social-media platforms (TikTok, X, Instagram, YouTube). The Service is hosted on third-party infrastructure (Vercel, Railway, Cloudflare R2, Modal, Clerk, Stripe) as described in our Privacy Policy.

3. Eligibility and account

• You must be at least 13 years old (16 in the EU/UK) to use the Service.
• You agree to provide accurate information, keep your account credentials secure, and notify us promptly of any unauthorised use.
• You are responsible for all activity under your account.

4. Paid plans, billing, and refunds

• Paid plans are billed in advance through Stripe on the cadence shown at sign-up. Fees and usage limits are shown in-app.
• You can cancel a subscription at any time from Settings. Cancellation takes effect at the end of the current billing period; we do not pro-rate refunds for partial periods unless required by law.
• We may change pricing with at least 30 days' notice; changes apply to subsequent billing periods.
• You are responsible for any taxes that apply in your jurisdiction.

5. Your content

You retain all rights to the videos, audio, captions, and other content you upload or generate using the Service ("Your Content"). You grant lidito a worldwide, non-exclusive, royalty-free licence to host, store, transmit, transcode, and process Your Content solely to operate the Service for you, including transferring Your Content to the sub-processors listed in the Privacy Policy. This licence ends when you delete Your Content or your account, subject to the retention periods set out in the Privacy Policy. We do not use Your Content to train machine-learning models.

6. Acceptable use

You agree not to use the Service to:

• upload, generate, or publish content that infringes any third party's intellectual property, privacy, or other rights;
• upload, generate, or publish content that is unlawful, defamatory, harassing, hateful, fraudulent, deceptive, sexually explicit involving minors, or that promotes violence;
• impersonate another person or entity or misrepresent your identity in connection with a connected social-media account;
• reverse-engineer, scrape, or circumvent rate limits, security controls, or technical protections;
• resell, sublicense, or commercially redistribute the Service without our written permission;
• interfere with the Service or the experience of other users.

We may remove content, suspend, or terminate accounts that violate these Terms or that we believe pose a risk to the Service, other users, or our sub-processors.

7. Connected social accounts

When you connect a TikTok, X, Instagram, or YouTube account, you authorise lidito to act on your behalf via that platform's API for purposes you instruct (such as scheduling and posting content). Your use of each connected platform is governed by that platform's own terms; you are responsible for complying with them, including content policies and posting limits. We do not guarantee successful delivery of any post to a third-party platform.

8. Third-party services

The Service relies on third-party providers, including Vercel, Railway, Cloudflare, Modal, Clerk, Stripe, and the social platforms above. Outages, changes, or terms imposed by those providers may affect the Service. We are not responsible for the acts or omissions of any third party.

9. Intellectual property

The Service, including its design, software, branding, and content (excluding Your Content), is owned by lidito or its licensors and is protected by intellectual-property laws. These Terms do not transfer any rights to you except the limited right to use the Service as permitted here.

10. Disclaimer of warranties

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or use of trade. We do not warrant that the Service will be uninterrupted, error-free, or that any specific content or feature will be available.

11. Limitation of liability

To the maximum extent permitted by law, lidito will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from or related to the Service. Our total liability arising out of or relating to these Terms or the Service is capped at the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) USD 50.

12. Indemnity

You agree to indemnify and hold harmless lidito and its officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your breach of these Terms.

13. Termination

You may stop using the Service and delete your account at any time from Settings. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Sections 5 (content licence), 6 (acceptable use), and 9–14 survive termination.

14. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws rules. The courts located in England and Wales have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes

We may update these Terms from time to time. Material changes will be announced in-app or by email at least 14 days before they take effect. Continued use of the Service after a change constitutes acceptance.
